Scott Piersall-Leuenberger, ESQ.
Scott is a business law attorney with extensive experience focusing on legal matters facing exempt organizations. He engages in a broad not-for-profit and for-profit corporate and business law practice.
Scott has represented for-profit and not-for-profit clients in all aspects of corporate activity, including corporate and limited liability company formation, obtaining tax exempt status with the IRS for non-profits, corporate reorganizations, merger, consolidation and dissolution; along with various other transactional, compliance and governance matters.
Scott’s not-for-profit clients include a large number of health care clients. Scott is experienced in regulatory issues specific to the health care industry and regularly advises his clients on matters including physician employment agreements, practice acquisitions, and Stark Law and Anti-Kickback Statute concerns.
While Scott’s practice focuses significantly on nonprofit matters, his practice also includes assisting business clients with all manners of transactional and contractual matters, including closely held and family business succession planning. Scott represents manufacturers, real estate developers and wide variety of service providers. Scott also assists clients with zoning issues and engages in commercial litigation.
Representative transactions that Scott has assisted clients with include stock and asset purchases, commercial and residential real estate transactions (including complex IRS 1031 tax deferred exchanges), private equity financing for commercial development projects, corporate restructurings, mergers under the Not-for-Profit Corporation Law, and merger/consolidations of educational corporations under New York Education Law.
Scott also regularly advises not-for-profit boards and committees regarding best practices and other compliance matters, including compliance with New York’s Nonprofit Revitalization Act of 2013 and subsequent amendments to that law.
Prior to starting his own practice, Scott was a Member of Bond Schoeneck & King PLLC, one of the largest law firms in Upstate New York. Scott also interned in the United States Attorney's Office for the Northern District of New York and participated in the Syracuse University College of Law Low Income Taxpayer Clinic.
